Sterling Elite provides executive education, coaching, assessment, and advisory services. This website is informational only and does not itself create an engagement. The specific scope, deliverables, fees, schedule, and duration of any engagement are governed exclusively by a separate written agreement executed between Sterling Elite and the client (the "Engagement Agreement"). In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls for that engagement.

6. Fees, Billing & Payment
Fees, billing frequency, and payment terms for an engagement are set out in the applicable Engagement Agreement. Unless otherwise stated there, invoices are due on the terms specified, late amounts may accrue interest at the maximum lawful rate, and all fees are exclusive of applicable taxes. Except as expressly stated in the Engagement Agreement, fees paid are non-refundable in recognition of reserved capacity.
7. Confidentiality
Each party may receive non-public information of the other. We treat client and engagement information as confidential in accordance with the applicable Engagement Agreement and use commercially reasonable measures to protect it. Please do not submit confidential, proprietary, or sensitive personal information through public web forms on this site.
8. Intellectual Property
All content, trademarks, service marks, logos, frameworks, assessment instruments, models, templates, and materials on this site and provided in connection with our services — including the Sterling Methodology — are and remain the exclusive property of Sterling Elite or its licensors. Subject to payment of applicable fees, clients receive a limited, non-exclusive, non-transferable license to use deliverables for their internal purposes. We may suspend or discontinue all or part of the website at any time. Termination of any engagement is governed by the applicable Engagement Agreement. Provisions that by their nature should survive termination — including those on intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — survive.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute in good faith; unresolved disputes will be resolved as provided in the applicable Engagement Agreement or, absent such provision, in the state or federal courts located in Nevada, to whose jurisdiction the parties consent.
16. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Your continued use of the website after changes become effective constitutes acceptance of the revised Terms.
17. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with any applicable Engagement Agreement and our Privacy Policy, constitute the entire agreement regarding the website. You may not assign these Terms without our consent; we may assign them to a successor. Our failure to enforce a provision is not a waiver of it.
